1. AGREEMENT TO TERMS

These Terms of Service (“Terms”) are a legally binding agreement between you (“you,” “user”) and Menteq Inc. (“Gudsy,” “we,” “our,” or “us”) regarding your use of the Gudsy platform (the “Platform”). By accessing or using the Platform, you agree to these Terms. If you do not agree, you may not use the Platform.

2. PLATFORM OVERVIEW

Gudsy connects constituents (donors, volunteers, and communities) with verified nonprofit organizations by providing tools to:

Discover, support, and manage nonprofit contributions
Manage volunteer opportunities
Enable transparent reporting of giving and volunteering

We act solely as a platform provider and not as a charity, fundraiser, or financial institution.

3. USER ACCOUNTS

3.1 Account Creation

You must provide accurate, up-to-date information when registering.
You are responsible for safeguarding access to your account (we use secure, passwordless login links).
Notify us promptly of unauthorized account access.

3.2 Account Types

Individual Accounts: For donors and volunteers
Nonprofit Accounts: For verified nonprofit organizations

3.3 Account Termination

We may suspend or terminate accounts for:

Violation of these Terms
Fraud, abuse, or harmful conduct
Legal or security risks

We will provide notice where reasonably possible. Users may terminate their account at any time.

4. NONPROFIT ORGANIZATION TERMS

We create nonprofit profiles using public data sourced from IRS’s master file. Only an authorized representative of a given nonprofit can activate its profile.
By activating a profile, you confirm accuracy and compliance with applicable fundraising laws.
You retain ownership of nonprofit content but grant Gudsy a license to display and distribute it solely for operating, improving, and promoting the Platform.

5. DONATION TERMS

5.1 Processing of Donations

Donations are processed via the nonprofit’s designated payment processor (currently PayPal).
Gudsy does not store or process payment information.
Transparent donation breakdowns are displayed (donation amount, payment processor fee, Gudsy platform fee).
Gudsy charges: $15/month per organizer + $1 per contribution processed.

5.2 Refunds and Chargebacks

Donations are generally non-refundable.
Limited exceptions: mistaken duplicate donations or technical errors may be corrected within 24 hours of donation by contacting us.
Chargebacks follow the payment processor’s policies.

5.3 Tax Deductibility

Gudsy provides receipts and yearly donation summaries.
Gudsy makes tax deductibility and related information available. However, nonprofits are ultimately responsible for its accuracy and must report any discrepancies.

5.4 Recurring Donations

You may cancel recurring donations at any time by logging into your Gudsy account, but you can also do that by contacting your payment processor.
Cancellations may take up to 3 business days.

6. VOLUNTEER TERMS

Gudsy facilitates connections but does not guarantee availability, quality, or outcomes of volunteer opportunities.
Relationships between volunteers and nonprofits are solely between those parties.

7. USER CONDUCT

You agree not to:

Violate laws or these Terms
Post false, fraudulent, or harmful content
Interfere with the Platform or its users
Harass or abuse others
Upload malicious code
Collect or misuse others’ personal information

8. INTELLECTUAL PROPERTY

Gudsy owns its trademarks, software, and platform content.
You retain ownership of your content but grant Gudsy a license solely to operate, improve, and promote the Platform.

9. THIRD-PARTY CONTENT

The Platform may contain third-party links. Gudsy is not responsible for external sites’ content or practices. Please review third-party terms and policies.

10. SERVICE COMMITMENTS

We will use reasonable efforts to maintain platform availability and minimize downtime.
We commit to responding to support inquiries within one business day.
In case of a data breach, we will notify affected users promptly and take reasonable steps to mitigate risks.
We regularly back up data and provide notice of planned maintenance when feasible.

11. LIMITATION OF LIABILITY

The Platform is provided “as is” and “as available.”
To the maximum extent permitted by law, Gudsy shall not be liable for indirect, incidental, or consequential damages.
Liability Cap: In no event shall Gudsy’s total liability exceed the greater of (a) $100 or (b) the total fees paid to Gudsy in the 12 months preceding the claim.
These limits do not apply in cases of fraud, gross negligence, or intentional misconduct by Gudsy.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Gudsy from third-party claims arising out of your misuse of the Platform or violation of these Terms. Gudsy will notify you of such claims and allow you to participate in your defense.

13. GOVERNING LAW & DISPUTE RESOLUTION

Governing Law: Commonwealth of Virginia, USA.
Informal Resolution: Contact us at legal@gudsy.org to resolve disputes informally.
Arbitration: If unresolved after 30 days, disputes will be resolved by binding arbitration under AAA rules. Arbitration may be conducted remotely (telephone, written, or video conference).
Opt-Out: You may opt out of arbitration within 30 days of account creation by emailing legal@gudsy.org.
Class Action Waiver: Disputes must be brought individually, not as a class action.

14. CHANGES TO TERMS

We may update these Terms. For material changes, we will provide at least 14 days’ notice via email or Platform notification before changes take effect. Continued use after changes constitutes acceptance.

15. SEVERABILITY

If any provision is unenforceable, the remaining provisions remain in full force.

16. ENTIRE AGREEMENT

These Terms, along with our Privacy Policy, form the entire agreement between you and Gudsy.
